END USER LICENSE AGREEMENT

This End-User License Agreement (this “Agreement”) is effective upon the creation of a Hiurd Account by and between you, the user (whether an individual or entity, referred to hereinafter as either “you,” “End-User,” or “User”), and Hiurd, LLC, a Utah limited liability company (referred to hereinafter as the “Company” or “Hiurd”).

Users of Hiurd may have one or both of the following roles:

• Job Creators ("Job Creators" or "Creators") – Users who create job postings and hire Service Providers to complete tasks.
• Service Providers ("Service Providers" or "Providers") – Users who bid on and perform jobs for Job Creators in exchange for payment.

By using Hiurd’s services, you acknowledge that you have read, understood, and agreed to the terms and conditions outlined in this Agreement. If you do not agree to these terms, you must cease using Hiurd immediately.

AGREEMENT

YOU ACKNOWLEDGE AND AGREE THAT YOUR ACT OF USING HIURD’S SERVICES CONFIRMS YOUR ACCEPTANCE OF THIS AGREEMENT AND YOUR PROMISE TO HONOR ALL OBLIGATIONS OF THE END-USER HEREUNDER. THEREFORE, YOU NEED TO FIRST REVIEW THE TERMS OF THIS AGREEMENT, AND IF YOU AGREE WITH ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, THEN, AND ONLY THEN, MAY YOU USE THE SERVICES PROVIDED BY HIURD. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN YOU MUST CEASE USING HIURD IMMEDIATELY.

1. Grant of License. In connection with your use of Hiurd’s services, you are hereby granted a limited, non-exclusive, non-transferable license (the “License”) to access and use the Hiurd platform, subject to the terms of this Agreement.Users of Hiurd may have one or both of the following roles:
   • a. Job Creators ("Creators") – Users who may create job postings, review and select Service Providers, and pay for completed services through the Hiurd platform.
   • b. Service Providers ("Providers") – Users who may browse and bid on job postings, communicate with Job Creators, and perform services in exchange for payment through the Hiurd platform.

     The term "Services", for purposes of this Agreement, refers to Hiurd’s function as a platform that facilitates the connection between Job Creators and Service Providers through a job posting, bidding, and selection process.

     Users are prohibited from circumventing Hiurd’s platform in any way. This includes, but is not limited to, identifying or reserving services through Hiurd and subsequently canceling or completing the job outside of the platform to avoid platform fees. Any violation of this restriction may result in account suspension, termination, or other penalties as determined by Hiurd.

2. Term and Termination. The terms of this License are perpetual. Hiurd may terminate this Agreement and your access to Hiurd Services at any time for any reason. Upon termination, you must cease all use of the Hiurd Application. If the End-User breaches any term or condition hereof and, upon receiving written notice via email of such breach from Hiurd, fails to cure the same to the Company’s reasonable satisfaction within ten (10) days after receipt of said notice, the Company may terminate the License. Upon termination of the License, the End-User shall immediately lose all access to services from Hiurd. Thereafter, the End-User shall continue to honor all provisions set forth herein for the protection of the Hiurd method, techniques, intellectual property, confidential information, and reputation.
3. Information Sharing. End-User authorizes Hiurd to share End-User’s personal information to the Creator that selects you for a job. This information includes but is not limited to:
   • a. The type of service.
   • b. Your name.
   • c. Your contact information.
4. Identity Verification & Background Checks
   • a. By using Hiurd, you consent to identity verification (KYC) checks conducted by Authenticate, a third-party provider. These checks are required for all users to ensure platform security and prevent fraud.
   • b. If you offer services in certain categories that require direct human interaction, you may be required to undergo a criminal background check through Authenticate. These categories include, but are not limited to:
     • i. Child & Elderly Care (babysitting, senior assistance, special needs care)
     • ii. Lessons Involving Minors (tutoring, sports coaching, music/dance instruction, swimming lessons, language instruction)
     • iii. Wellness Services (therapists, marriage counselors, massage therapists, physical therapists, fitness trainers)
   • c. Background checks help ensure the safety of Job Creators and compliance with Hiurd’s policies.
   • d. Hiurd reserves the right to deny, suspend, or restrict accounts based on background check results.
5. Ownership. Title, all ownership rights, and all intellectual property rights relating to Hiurd, LLC shall remain exclusively with Hiurd. No title to or ownership of Hiurd has been transferred to you, and this License shall not be construed as a sale of any rights in Hiurd, but merely a limited, non-exclusive license. The Company and its authorized distributors reserve all rights not expressly granted to you herein.
6. Limitation of Liability. Hiurd is a neutral online platform that facilitates connections between Job Creators and Service Providers but does not manage, oversee, or guarantee the quality, safety, legality, or timeliness of services performed. All agreements, service expectations, and payments are arranged directly between users, and Hiurd is not a party to any such agreements. Hiurd is not responsible for user interactions, agreements, disputes, fraudulent activity, or service failures that occur between Job Creators and Service Providers. All transactions and service expectations are independently established by users, and Hiurd is not liable for disputes, damages, financial losses, or legal claims arising from such interactions. Users acknowledge that Hiurd does not guarantee the quality, accuracy, or legality of services offered by other users and assumes no liability for financial losses, fraudulent activity, misrepresentation, or non-performance of services. All transactions and engagements are at the users' own risk. Hiurd is not liable for any claims, disputes, or damages arising from user interactions, including but not limited to fraud, deception, failure to perform services, or contractual disputes. Users acknowledge that Hiurd does not conduct background checks on all users beyond identity verification and specific Service Provider categories that require criminal background checks. Hiurd does not guarantee the accuracy, reliability, or legality of any user’s actions, representations, or communications. Users assume all risks associated with interacting with other users through the platform, including but not limited to fraud, misrepresentation, service disputes, and safety risks. Hiurd shall not be liable for any damages, financial losses, or legal claims arising from interactions between users. Hiurd’s maximum liability shall not exceed the total platform fees paid by the user within the last six (6) months.Hiurd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of Hiurd’s services, even if advised of the possibility of such damages. This includes, but is not limited to:
   • a. Cybersecurity Compliance: Hiurd certifies to End-User that the Hiurd platform is compliant with all federal and state cybersecurity guidelines and regulations to the best of its knowledge and ability at the time of use.
   • b. Resolution of Issues: If issues arise out of or in connection with the use of Hiurd regarding cybersecurity or technical issues, Hiurd will make reasonable efforts to rectify the situation in a timely manner. However, Hiurd does not guarantee the immediate resolution of such issues and shall not be held liable for any losses or damages resulting from these issues.
   • c. Disclaimer: While Hiurd strives to provide a secure and reliable platform, it is essential to recognize that no online service can be entirely immune to cybersecurity threats or technical disruptions. By using Hiurd, End-User acknowledges and accepts the inherent risks associated with online platforms, including but not limited to cybersecurity and technical issues.
7. Indemnification; Injunction. The End-User shall fully indemnify and hold Hiurd harmless from and against any and all claims, losses, damages, legal fees and costs suffered or incurred by End-User in cases where the End-User brings legal action against a Creator over a service paid for through the Hiurd online platform. Additionally, the End-User shall fully indemnify and hold Hiurd harmless from and against any and all claims, losses, damages, legal fees and costs suffered or incurred by Hiurd as a result of any material breach by the End-User, its employees or agents of any provision of this Agreement; and the End-User further agrees that any such actual or threatened breach will cause Hiurd to incur incalculable and irreparable damage for which there is no adequate remedy at law, entitling Hiurd to temporary and permanent injunctive relief in addition to all other available remedies.
8. Waiver of Class Action. You agree that any dispute or claim arising out of or relating to this Agreement will be resolved on an individual basis and not as part of a class, collective, or representative action, except where prohibited by applicable law. You further agree to waive your right to participate in any class action lawsuit or class-wide arbitration against Hiurd to the fullest extent permitted by law.
9. Severability. If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be enforced to the maximum extent possible, and the remaining provisions of this Agreement will remain in full force and effect.
10. Disclaimer of Warranties. Hiurd provides its services “as is” and “as available” without any warranties of any kind, whether express, implied, or statutory, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Hiurd does not warrant that the services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects in the services will be corrected.
11. User Responsibilities and Obligations. You agree to provide accurate and complete information when creating an account and using Hiurd Services. Failure to do so may result in account suspension or termination. You agree not to use Hiurd to engage in any of the following prohibited activities: (i) Submitting false or misleading job postings; (ii) Harassing, threatening, or discriminating against other users; (iii) Engaging in any illegal activities; (iv) Attempting to gain unauthorized access to other users’ accounts or Hiurd’s systems; (v) Impersonating another person or entity; (vi) Submitting bids on jobs you are unable to complete.
12. Data Privacy and Security. Hiurd takes reasonable measures to protect your personal information. For details on how your data is handled, please refer to our Privacy Policy. You have the right to access, correct, or delete your personal information. To exercise these rights, please contact us using the details provided in the Privacy Policy.
13. Service Availability and Downtime. Hiurd does not guarantee uninterrupted access to the Services. We will strive to address any service interruptions promptly but are not liable for any disruptions or downtime.
14. User Content and Intellectual Property. By submitting content to Hiurd, including but not limited to job postings, reviews, or feedback, you grant Hiurd a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute such content for any purpose, including marketing and promotional activities. You retain ownership of your content, but Hiurd has the right to use it without further permission or compensation.
15. No Agency Relationship. Nothing in this Agreement will be construed as creating any agency, partnership, joint venture, or other form of joint enterprise between the End-User and Hiurd. The End-User acknowledges that Hiurd operates solely as an independent contractor and not as an agent or representative of the End-User or any other party using the platform.
16. Third-Party Services and Links. Hiurd may contain links to third-party websites or services that are not owned or controlled by Hiurd. Hiurd has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Hiurd will not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of or reliance on any such third-party content, goods, or services.
17. Age and Eligibility Requirements. By using Hiurd, you confirm that you are at least 18 years old or the legal age of majority in your jurisdiction, whichever is greater. At this time, Hiurd does not permit individuals under the age of 18 to create accounts or use the platform, even with parental or guardian consent. Hiurd reserves the right to request proof of age at any time and to suspend or terminate accounts that do not meet the eligibility requirements.
18. Account Security. You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under your account. You agree to notify Hiurd immediately of any unauthorized use of your account or any other breach of security. Hiurd is not liable for unauthorized access, fraudulent transactions, or losses resulting from compromised accounts due to weak passwords, phishing, or negligence. Users acknowledge that any transactions made through their account will be assumed valid unless reported within 3 days. Hiurd will not be liable for any loss or damage arising from your failure to comply with this security obligation.
19. Payment Terms and Fees.

    • a. Platform Fees

      Job Creators agree to pay a 5% platform fee, which is added to the total job price at checkout and is non-refundable. Service Providers agree to pay a 10% platform fee, which and is non-refundable. Service Providers agree to pay a 10% platform fee, which is deducted from their earnings before payout.

      For example, if a Service Provider submits a bid of $100, the Job Creator will pay $105 total (including the platform fee), and the Service Provider will receive $90 after the platform fee deduction.[MOU1]

    • b. Payment Processing & Escrow

      All payments must be processed through Hiurd’s approved payment processor (e.g., Stripe). For each job, funds will be held in escrow until the Job Creator marks the job as complete. If a dispute arises, funds may be withheld pending resolution in accordance with Hiurd’s Dispute Resolution procedures. Hiurd operates as a licensed escrow agency in the State of Utah (NMLS #2619771). By using the Hiurd platform, users acknowledge and consent to the use of escrow services for holding funds until services are completed, at which point funds are released per our Dispute Resolution process. Hiurd does not operate as a bank, lender, or financial institution and assumes no liability for financial disputes beyond its role as an escrow intermediary. It does not provide lending, custodial banking, or financial advisory services.

      Hiurd does not directly hold or transmit user funds. All payments are processed through Stripe, Inc., a third-party payment service provider, regardless of jurisdiction.

      By using Hiurd, you authorize Stripe, Inc. to act as your agent to process payments, temporarily hold funds in escrow-like conditions, and issue payouts in accordance with Hiurd’s platform logic. Stripe is a licensed money transmitter and handles all regulated financial transactions on Hiurd’s behalf outside the State of Utah. Your use of Hiurd is subject to the Stripe Terms of Service and Stripe Privacy Policy, which govern all transactions processed through its infrastructure. Hiurd does not control, manage, or store your complete payment information. Stripe operates independently and is solely responsible for the security and transmission of financial data associated with your use of the platform.

    • c. Non-Refundable Fees & Payment Finality:

      All platform fees are non-refundable, including in cases where a job is canceled, abandoned, or resolved outside of Hiurd’s dispute resolution process, except where such non-refundability would violate applicable Utah consumer protection laws. Users acknowledge that platform fees cover Hiurd’s facilitation services and are not tied to service outcomes between Job Creators and Service Providers. Hiurd has sole discretion to determine refund eligibility in cases of system errors, incorrect billing, or fraudulent activity.

    • d. Chargeback Prevention & Fraud Protection:

      Users waive the right to initiate chargebacks or payment reversals through their financial institution for transactions completed through Hiurd.

      If a chargeback is initiated after Hiurd resolves a dispute, Hiurd reserves the right to:

      • i. Suspend or terminate the user’s account,
      • ii. Deduct the disputed amount from any available account balance or future earnings, and
      • iii. Pursue legal action to recover funds owed, including assessing a $50 administrative penalty per wrongful chargeback, plus legal and collection fees if necessary.
      • iv. Submit documentation to the payment processor and financial institution contesting the chargeback, including transaction history and evidence of service completion.
    • e. Fraud & Unauthorized Activity:

      Hiurd reserves the right to review, delay, or cancel transactions if fraud, unauthorized activity, or misuse is suspected. Hiurd is not responsible for financial losses caused by delays due to fraud investigations or payment verification requirements. Users acknowledge that Hiurd may:

      • i. Temporarily hold funds until additional verification is completed,
      • ii. Require government-issued ID or other proof of identity before releasing payments, or
      • iii. Reverse transactions or return funds to the original payment source if fraudulent activity or policy violations are confirmed.
    • f. Fee Adjustments & Notifications:

      Hiurd reserves the right to modify platform fees at any time. Users will receive 30 days' prior written notice through the platform, via email, or in their account dashboard before fee changes take effect. For ongoing contracts or jobs in progress at the time of fee modification, the previous fee structure will remain in effect until completion. Continued use of Hiurd following such notification constitutes acceptance of the updated fee structure.

20. User Feedback and Suggestions. Any feedback, suggestions, or ideas you provide to Hiurd regarding the platform or services are non-confidential and may be used by Hiurd without any obligation to compensate you. By submitting feedback, you grant Hiurd a perpetual, irrevocable, royalty-free license to use, modify, and incorporate your suggestions into its platform, services, or communications, with or without attribution or compensation.
21. Audit Rights. Hiurd reserves the right to audit your use of the services to ensure compliance with the terms of this Agreement. Any such audit will be conducted during regular business hours, and you agree to cooperate fully with any such audit. If any audit reveals that you have breached this Agreement, Hiurd reserves the right to charge you for the cost of the audit, in addition to any other remedies available to it.
22. Force Majeure. Hiurd will not be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, pandemics, labor strikes, or governmental actions. In such cases, Hiurd’s obligations under this Agreement will be suspended for the duration of the event.
23. Termination for Convenience. Hiurd reserves the right to terminate this Agreement and your access to the services at any time, for any reason, with or without notice including violation of this Agreement, fraudulent activities or abuse of the platform, repeatedly receiving valid disputes or failing to resolve service-related issues, Any attempts to bypass Hiurd’s platform fees by soliciting Job Creators outside of the platform. Upon termination, you must cease all use of Hiurd and delete any copies of the application or related materials in your possession. Hiurd will not be liable to you or any third party for termination of this Agreement. Termination decisions are at Hiurd’s sole discretion. Users may request a review of termination decisions by contacting contact@hiurd.com.
24. Non-Solicitation. During the term of this Agreement and for a period of one (1) year thereafter, you agree not to directly or indirectly solicit, hire, or engage any Job Creator or Service Provider you were introduced to through Hiurd outside of the Hiurd platform, unless otherwise authorized in writing by Hiurd. Indirect solicitation includes, but is not limited to:
    • a. Referring users to other Service Providers outside of Hiurd,
    • b. Providing contact information for off-platform transactions,
    • c. Discussing or arranging future services off-platform to avoid Hiurd fees.

    Violation of this clause may result in account suspension, termination, and liquidated damages equal to the greater of $100, 15% of the total job value, or an estimated lost transaction fee incurred by Hiurd. These amounts represent a reasonable estimate of actual damages Hiurd would suffer from such violations, including lost revenue, administrative costs, and harm to platform integrity. Hiurd reserves the right to pursue additional legal action for repeated violations.

25. No Assignment. You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of Hiurd. Any attempted assignment or transfer in violation of this provision will be null and void. Hiurd may freely assign this Agreement without restriction.
26. Provider’s Discretion and Service Refusal. End-User acknowledges and understands that a Provider is not legally bound to provide the services requested by you. A Provider retains the right to decline to provide services for any lawful reason, provided that such refusal does not discriminate against protected classes under applicable federal and Utah state laws. If the service requested is refused by the Provider, any funds held by Hiurd as a hold will be promptly released.
27. Export Control. You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not located in any country subject to embargo by the United States or in any country that has been designated by the U.S. Government as a “terrorist-supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
28. No Waiver. The failure of Hiurd to enforce any right or provision of this Agreement will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Hiurd.
29. Consent to Electronic Communications. By using Hiurd, you consent to receive electronic communications from Hiurd, whether via email or through the platform. You agree to maintain current and accurate contact information, including email address, in your Hiurd account at all times. You agree that any notices, agreements, disclosures, or other communications that Hiurd sends to you electronically will satisfy any legal communication requirements, including that such communications be in writing. You acknowledge that it is your responsibility to monitor and review such communications and that you will be deemed to have received any communication sent to the email address associated with your account.
30. Dispute Resolution. If a dispute arises between users on the platform, they may initiate a dispute case through the Hiurd platform. Hiurd will act as a neutral mediator but does not guarantee a resolution that satisfies both parties. Users acknowledge that Hiurd’s dispute resolution decision regarding transaction-related matters is final and binding, except in cases involving fraud, gross negligence, or willful misconduct by Hiurd. While users agree to first attempt resolution through Hiurd's platform, nothing in this Agreement prevents users from pursuing claims in court or through other legal means if Hiurd's mediation process fails to resolve the dispute. By using Hiurd, users agree that the platform’s mediation process is the exclusive resolution method for transaction-related disputes. Dispute resolution applies not only to service-related disputes between Job Creators and Service Providers but also to disputes involving platform use, fraudulent activity, fee disputes, account suspensions, and Hiurd policy violations. Hiurd reserves the right to determine resolution methods for all disputes arising within the platform, and users agree that Hiurd’s decision is final and binding. Users agree that Hiurd’s decision in any dispute resolution process is final and binding, and they waive the right to contest Hiurd’s decisions through legal action or arbitration outside of the Hiurd platform. The following process applies for disputes:
    • a. Immediate Disputes (Before Funds Are Released)
      • i. If a Job Creator is not satisfied with the service provided and does not mark the job as complete, they may open a dispute within 72 hours of the Service Provider marking the job as complete.
      • ii. Once a dispute is opened, funds in escrow are frozen and cannot be released until resolution.
    • b. Post-Completion Disputes (After Funds Are Released)
    • i. If a Job Creator discovers issues after releasing funds, they may file a dispute within fourteen (14) calendar days of job completion. After this period, all services shall be deemed accepted and any disputes will be barred.
    • ii.Funds will not be frozen, but Hiurd will contact the Service Provider and attempt to facilitate a resolution.
    • iii.The Service Provider will be given an opportunity to correct the issue before any further action is taken.
    • iv.If Hiurd determines that the Service Provider is at fault and refuses to correct the issue, Hiurd may, upon written notice to the Service Provider, place a hold on future earnings for up to 30 days or until the dispute is resolved, whichever occurs first.
    • c. Mediation by Hiurd
      • i. Hiurd staff will review the dispute, which may involve collecting evidence from both parties (e.g., messages, photos, service descriptions, and feedback).
      • ii. The Service Provider has 48 hours to respond to the dispute with their perspective.
      • iii. Hiurd is not a legal arbitration service and does not act as a judge or legal authority. Users expressly acknowledge and agree that Hiurd’s mediation is informal, non-binding under the Utah Uniform Arbitration Act, and based solely on its internal policies and business judgment. This mediation process does not constitute legal proceedings or prevent users from pursuing their legal rights in a court of competent jurisdiction.
    • d. Resolution OutcomesHiurd will determine one of the following resolutions:
      • i. Option A: Full Release to Service Provider – If Hiurd determines the service was performed as agreed, funds will be released to the Service Provider.
      • ii. Option B: Full Refund to Job Creator – If Hiurd determines that the service was not completed or was significantly below expectations, funds will be returned to the Job Creator.
      • iii. Option C: Partial Split – If both parties agree (or if Hiurd determines a fair middle ground), an agreed-upon amount will be released to the Service Provider, with the remainder refunded to the Job Creator.
    • e. Final & Binding Decision
      • i.Hiurd’s decision on the dispute is final and binding for both parties.
      • ii.Once a decision is made, funds will be released accordingly.
      • iii.Users waive the right to pursue additional claims against Hiurd regarding the dispute decision, except in cases of gross negligence or willful misconduct by Hiurd. This waiver is limited to claims directly related to the dispute resolution process and decision-making, and does not waive any non-waivable rights under applicable law.
    • f. Abuse of the Dispute System
      • i.Users who repeatedly file unfounded disputes or engage in fraudulent dispute claims may have their accounts suspended or terminated at Hiurd’s discretion.
      • ii.Service Providers who receive excessive valid disputes may be required to provide additional verification, issue refunds, or face restrictions on their accounts.
31. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflicts of law principles. Users agree that any legal action or proceeding related to this Agreement, Hiurd’s services, or user transactions must be filed and conducted exclusively in the state courts located in Utah County, Utah, or the United States District Court for the District of Utah, and users hereby consent to the personal jurisdiction of such courts. Users waive any objections to jurisdiction or venue in Utah courts.
32. Modifications. Hiurd may modify this Agreement by providing at least thirty (30) days' advance notice of material changes through email notification to each End-User and posting the updated terms on the Hiurd App. For non-material changes, notice may be provided through the Hiurd App. Your continued use of Hiurd after the effective date of such modifications constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must discontinue using Hiurd's services.
33. General Provisions. This Agreement is the final expression of the parties’ agreement and is intended to be a complete and exclusive statement of the terms and conditions thereof, including any exhibits attached hereto. Any waiver of any performance required hereunder of either party shall be valid only in the instance for which it is given, not for any future instances or other provisions hereof, and only if waived in writing by the party otherwise given, not for any future instances or other provisions hereof, and only if waived in writing by the party otherwise benefiting from such performance. Access to usage, performance, and efficacy data of all types from Hiurd shall be granted at all times to Hiurd and may be used for reports, evaluations, and publication in accordance with Hiurd's Privacy Policy and applicable data protection laws, including the Utah Consumer Privacy Act. Hiurd will collect, process, and share data only as described in its Privacy Policy, which details the types of data collected, purposes of processing, retention periods, and user rights regarding their personal information. Any public reports, evaluations, and publications will be anonymized and aggregated to protect user privacy. 34. Entire Agreement. This Agreement constitutes the entire agreement between the End User and Hiurd concerning the subject hereof and supersedes all prior or contemporaneous communications and proposals, whether electronically, orally, or written.
